Terms and Conditions

Amaze Media Labs LLC (“Amaze”) has developed the Audiencelift self-service ad buying platform for podcasters (the “Service”). These terms and conditions (“Terms”) govern your use of the Service. You should not use the Service if you have any objection to these Terms.

Definitions

• "Content" refers to all creative materials provided by the user.
• "User" or "You" refers to any individual or entity utilizing the Service.

User Representations and Warranties.

By using the Service, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into these Terms.
• You have the authority to provide the content and enter into these Terms on behalf of yourself or your organization.

Restrictions.

In connection with your use of the Service:

• All descriptions and creative content you furnish must be suitable for a general audience and must not contain profanity, explicit, offensive, or sexual content. Amaze reserves the right to edit, modify, or remove content at Amaze's sole discretion.
• No promotion of material containing or falling into the following categories will be accepted: adult content, hate or discriminatory content, get-rich-quick schemes, content targeting individuals under 16 years old, malware, misleading or harmful content, or promotion of tobacco products.
• Amaze reserves the right to reject, edit, or pause a campaign and/or its content at any time without notice.
• You are solely responsible for your content and any content linked to or from it.
• You must not use the Service for any unlawful purpose or in a manner not intended by Amaze.
• You must seek and provide all necessary consents from your users before sending messages, push notifications, or any other communication.
• You must not engage in spamming or deceptive marketing practices.
• Your content must be your own and must not infringe upon the rights of others.

Purchase Terms.

• All sales are final. No refunds are authorized except where campaigns are rejected by Amaze, in which case any sums paid will be promptly refunded.
• All orders must be approved by Amaze before going live.
• Amaze uses a proprietary mix of acquisition strategies that may include advertising in mobile apps and games.
• Amaze reserves the right to reject or refuse any order for any reason.

Disclaimer of Warranty.

Amaze makes no representation or warranty, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Amaze offers no guarantee as to the success of any advertising.

Intellectual Property Rights.

Other than content you supply, Amaze retains all intellectual property rights connected with the Service, including data arising from the use of the Service.

Limitation of Liability.

In no event shall Amaze, nor any of its officers, directors, or employees, be liable for anything arising out of or in any way connected with your use of the Service, except for the negligent actions of Amaze or breach of these Terms. Neither Amaze nor its officers, directors, or employees shall be liable for any indirect, consequential, or special damages.

Indemnification

You agree to indemnify, defend, and hold harmless Amaze and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

Force Majeure

Amaze shall not be held liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, acts of government, natural disasters, Internet or telecommunications failures, or labor disputes.

Variation of Terms

Amaze is permitted to revise these Terms at any time at its sole discretion. By continuing to use the Service, you agree to review such Terms regularly and to be bound by any updated versions.

Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, that provision shall be deleted without affecting the remaining provisions.

Assignment

Amaze may assign, transfer, or subcontract its rights and/or obligations under these Terms without notification or consent. You may not assign, transfer, or subcontract any of your rights or obligations without prior written consent from Amaze.

Entire Agreement

These Terms constitute the entire agreement between Amaze and you concerning your use of the Service, superseding all prior agreements and understandings.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York. You agree to submit to the non-exclusive jurisdiction of the state and federal courts located in New York for the resolution of any disputes.

Privacy Policy

Use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms.
